Clippers Base — Terms of Service

These Terms of Service ("Terms") govern your access to and use of Clippers Base. By creating an account or using Clippers Base, you agree to these Terms on behalf of yourself and the business you represent. If you do not agree, do not use Clippers Base.

Who we are

Clippers Base is provided by Clippers Base Pty Ltd (ACN 699 861 491, ABN 35 699 861 491), 83 Princes Hwy, St Peters NSW 2044. In these Terms, "Clippers Base", "we", "us" and "our" refer to Clippers Base Pty Ltd, and "you" refers to the person and business using our services.

These Terms apply to your use of Clippers Base. How we handle personal information is described in our Privacy Policy.

Eligibility and accounts

You must be at least 18 years old and able to enter into a binding agreement to use Clippers Base. You are responsible for your account, for keeping your login details secure, and for all activity that occurs under your account, including by any team members you invite. You agree to provide accurate information and to keep it up to date.

The service

Clippers Base is subscription software for managing a mobile grooming business, including scheduling, client and job management, invoicing, messaging and related features. We may add, change or remove features from time to time, and we may set or vary limits that apply to use of the service.

Fees, billing and taxes

Access to paid features requires a subscription. The fees, plans and any usage allowances that apply are those shown when you sign up, or as otherwise made available to you. Fees are in Australian dollars and are billed in advance through our third-party payment provider.

Unless stated otherwise, fees are exclusive of GST; where GST or other taxes apply, they will be added to your invoice. We may change our fees from time to time and will give you reasonable notice of any change that affects you. Price changes do not apply retrospectively to periods you have already paid for.

Subscriptions renew automatically for successive periods until cancelled. We may offer promotional or introductory pricing from time to time, on the terms described when the offer is made.

Free trials

We may offer a free trial. We may require valid payment details to start a trial, and unless you cancel before the trial ends, your subscription will begin and billing will start automatically. We may change or withdraw trial offers at any time.

Cancellation and refunds

You can cancel your subscription at any time, and you will keep access until the end of your current paid period. Cancelling stops future billing but does not, by itself, delete your account or data.

Except where required by law, fees already paid are non-refundable, including for partial periods and for any messaging or add-on purchases once used. Nothing in these Terms excludes, restricts or modifies any rights you have under the Australian Consumer Law that cannot lawfully be excluded.

Acceptable use

You agree not to:

  • use Clippers Base in breach of any law, or to store or send unlawful, infringing or harmful content;
  • enter or use another person's or business's information without a lawful basis to do so;
  • use the messaging features to send content that is unlawful, or that the recipients have not agreed to receive;
  • attempt to access data belonging to other customers, or interfere with, probe or disrupt the service or its security;
  • reverse engineer the service, or use it to build a competing product; or
  • use the service in any way that could damage, disable or impair it.

You are responsible for your own use of Clippers Base and for ensuring it complies with the laws that apply to your business.

Messaging

Clippers Base lets you send messages, such as SMS, to your own customers. You are responsible for ensuring your use of the messaging features complies with applicable laws, including the Spam Act 2003 (Cth), and that you have any consents needed to message your customers. Recipients can opt out of your messages, and we may suspend or limit messaging that is flagged as spam, generates complaints, or otherwise puts the service or other users at risk.

AI features

Some features use artificial intelligence to generate summaries, suggestions and similar assistance. AI-generated output can be inaccurate or incomplete and is provided as assistance only. You should not rely on it as a substitute for your own judgement, and we are not liable for decisions you make in reliance on AI-generated output.

Your content and data

You keep ownership of the content and data you put into Clippers Base. You grant us the rights needed to host and process it in order to provide the service, as described in our Privacy Policy. You are responsible for your content and for having the right to provide any information you enter, including information about your own customers.

We may collect and use analytics and other information about how the service is used, to operate and improve it.

Intellectual property

Clippers Base, including its software, design and branding, is owned by us or our licensors. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. These Terms do not transfer any ownership of the service to you.

Third-party services

Clippers Base relies on third-party services to operate, and may link to or integrate with services we do not control. We are not responsible for those third parties, and your use of them may be subject to their own terms.

Disclaimers

Clippers Base is provided "as is" and "as available", without warranties of any kind to the extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose. Nothing in these Terms excludes any guarantee, right or remedy that cannot lawfully be excluded, including under the Australian Consumer Law.

Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for any loss of profits, revenue or data. To the maximum extent permitted by law, our total liability arising out of or in connection with the service or these Terms is limited to the amount you paid us for the service in the 12 months before the claim arose. Where a liability cannot be excluded but can be limited, our liability is limited, at our option, to resupplying the service or paying the cost of having it resupplied.

Indemnity

You agree to indemnify us against any loss, cost or liability we reasonably incur arising from your breach of these Terms or your misuse of the service, except to the extent it is caused by our own breach or negligence.

Suspension and termination

You may stop using Clippers Base and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if it is necessary to protect the service or other users. Where reasonable, we will give you notice and an opportunity to fix the issue first. On termination, your right to use the service ends; provisions that by their nature should survive will continue to apply.

Changes

We may change these Terms from time to time. Where a change is material, we will take reasonable steps to let you know. Your continued use of Clippers Base after a change takes effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that State.

General

These Terms, together with our Privacy Policy, are the entire agreement between us about your use of Clippers Base. If any part of these Terms is found to be unenforceable, the rest continues to apply. Our failure to enforce a provision is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours in connection with a business sale or restructure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
