Subscription Agreement

Thanks for using Clippers Base. This agreement covers what you can expect from us and what we expect from you. It applies whether you're on the free Solo plan or a paid plan.

Who this agreement is between

This agreement is between Ayush Shrestha trading as Clippers Base (sole trader, ABN 25 803 700 206, business address 83 Princes Highway, St Peters NSW 2044) — referred to as "we", "us", "our", or "Clippers Base" — and you, the person or business that holds a Clippers Base account.

When this agreement says "the Service", it means the Clippers Base mobile and web apps (including app.clippersbase.com), the marketing website at clippersbase.com, and anything else we build that's part of the Clippers Base product.

By signing up for an account, you agree to this agreement and to our Privacy Policy. If you don't agree, please don't use the Service.

Plans, pricing, and the free trial

We offer three plans:

All fees are exclusive of GST. GST will be added at the prevailing Australian rate (currently 10%) and shown as a separate line item on every tax invoice we issue.

The free Solo plan is genuinely free: we don't ask for your credit card to use it, and we don't sell your data. Some features may be limited compared to paid plans.

For Assistant and Manager plans, the first 30 days are free. After the trial:

  • We charge your card monthly in advance for the next billing period.
  • If we can't charge your card, your account is frozen and inaccessible until you fix the payment. If we can't collect payment for 30 days, we'll auto-cancel the account.
  • All amounts are in Australian dollars.

If you upgrade from Solo (Free) to a paid plan, we charge your card immediately and your billing cycle starts that day. If you change between paid plans, the new rate starts from your next billing cycle.

We may run promotions or offer discount codes from time to time; the specific terms of any promotion will be set out at the time it's offered.

Cancellation, refunds, and plan changes

You can cancel at any time from your account settings. Cancellation takes effect at the end of your current paid billing period — you keep access until then. We do not pro-rata refund unused time in the last billing cycle.

Beyond that:

  • We don't offer refunds for change of mind, partial-month cancellations, or unused features.
  • The above is in addition to (and does not exclude) your rights under the Australian Consumer Law (ACL). If we breach a consumer guarantee, you may be entitled to a refund, replacement, or compensation under the ACL.
  • If we materially break the Service for an extended period and can't fix it, contact us and we'll work it out.

If we change pricing, existing customers are usually grandfathered. If we do change your price, we'll give you at least 30 days' notice by email.

Your data and your content

You own your data. That includes your client list, bookings, photos, voice notes, invoices — everything you put into Clippers Base.

You grant us a limited, non-exclusive, royalty-free licence to host, store, process, transmit, back up, and display your data only as needed to provide the Service to you and to comply with our legal obligations. This licence ends when you cancel your account, except for backups (deleted within 60 days) and any minimal records we're legally required to keep.

You can export your data at any time using the export feature in the app.

When you cancel, we delete your data per the timelines in our Privacy Policy.

Photos and marketing

You grant Clippers Base a non-exclusive, worldwide, royalty-free licence to use photos you upload (e.g., before/after grooming shots) in our marketing materials — for example, on social media, in case studies, on our website, or in pitch decks. When we do this:

  • We won't identify you or your business by name without your prior consent.
  • We'll remove client and pet names from any photos used.
  • We'll stop using a specific photo if you ask us to (email support@clippersbase.com).

You confirm that you have the right to upload these photos and that any individuals whose pets appear in the photos have consented to your use.

If you don't want any of your photos used in marketing, email support@clippersbase.com and we'll exclude your account from marketing use.

Your responsibilities

When using Clippers Base, you agree:

  1. Your account is for you. One human, one account. Don't share login credentials.
  2. You're responsible for keeping your password secure. We strongly recommend a unique, strong password and two-factor authentication where available.
  3. You're responsible for everything that happens under your account.
  4. You'll comply with Australian law in your use of the Service.
  5. You won't use Clippers Base to send spam, harass others, transmit malware, or do anything illegal.
  6. You won't try to break into the Service, scrape data not belonging to you, reverse-engineer it (except to the extent allowed by law), or interfere with other users.
  7. You'll handle your clients' personal information lawfully — you are the data controller for that information, and we're the processor running the system on your behalf.
  8. You must be a human. Accounts registered by automated means are not permitted.

If you breach these terms, we may suspend or terminate your account.

Service availability

We do our best to keep Clippers Base running, but:

  • The Service is provided "as is" and "as available". We don't promise specific uptime levels.
  • We may schedule maintenance windows and will try to do these outside Australian business hours.
  • We may temporarily restrict usage that is significantly above typical levels, after attempting to contact you first except where the level of use threatens performance for other users.

Nothing in this section overrides the consumer guarantees under the Australian Consumer Law.

Liability

To the maximum extent permitted by law, our total liability to you for any claim arising out of or related to this agreement or your use of the Service is capped at the greater of:

  • The total amount of subscription fees you've paid us in the 12 months before the event giving rise to the claim, or
  • A$100.

We're not liable for indirect, consequential, special, incidental, or punitive damages — including loss of profits, loss of data, loss of business opportunity, or loss of goodwill — even if we've been advised of the possibility of such damages.

Australian Consumer Law: Nothing in this agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where the Service is supplied to you as a "consumer" under the ACL, our liability for failure to comply with a non-excludable consumer guarantee is, where permitted by law, limited to:

  • For services: re-supplying the services or paying the cost of having them re-supplied;
  • For goods: replacing the goods, supplying equivalent goods, repairing them, or paying the cost of replacement or repair.

This limitation applies only to the extent permitted by law.

Intellectual property

We own everything about Clippers Base except your data: the software, the design, the brand, the logos, the documentation. You don't acquire any rights in those just because you use the Service.

You may not:

  • Copy, modify, adapt, or distribute Clippers Base
  • Reverse-engineer the software (except where Australian law specifically allows)
  • Use our name, logo, or branding without our written permission
  • Resell, sublicense, or provide access to the Service to anyone outside your account

Suspension and termination

We may suspend or terminate your account if:

  • You breach this agreement
  • You don't pay
  • We're legally required to
  • Someone reports abuse and we determine you've used the Service to harass, threaten, or harm others
  • You behave abusively (verbally, physically, in writing, or otherwise) toward us or our team — this results in immediate termination

We don't owe you a refund if we terminate for cause.

You can cancel at any time from your account settings.

Changes to this agreement

We may update this agreement from time to time. When we do:

  • We'll change the "Last updated" date at the top.
  • For significant changes, we'll email you at the address on file.
  • Continuing to use the Service after a change means you accept the new terms.

If you don't accept a change, your remedy is to cancel.

Governing law and disputes

This agreement is governed by the laws of New South Wales, Australia. The courts of New South Wales have exclusive jurisdiction over any dispute arising out of or in connection with this agreement.

Before going to court, please email support@clippersbase.com first. We'll do our best to sort it out without lawyers.

General

  • Entire agreement. This agreement, together with the Privacy Policy, is the whole agreement between us.
  • Severability. If any part of this agreement is found invalid, the rest still applies.
  • No waiver. If we don't enforce a term immediately, that doesn't mean we waive it.
  • Assignment. You can't assign this agreement to anyone else without our written consent. We can assign it if we sell or restructure the business — we'll let you know.
  • Notices. We send notices to the email on your account. You send notices to support@clippersbase.com.
